Fortis Healthcare Subsidiary to Acquire TMI Healthcare for ₹430 Crore

Fortis Healthcare’s wholly-owned subsidiary, International Hospital Limited (IHL), has signed definitive agreements to acquire TMI Healthcare Private Limited for a total consideration of ₹430 Crore. The acquisition includes TMI Healthcare, the underlying hospital land and building, and adjacent land. The deal is expected to close by the end of January 2026 and will bolster Fortis’s network in Bengaluru.

Acquisition of TMI Healthcare

International Hospital Limited (IHL), a wholly-owned subsidiary of Fortis Healthcare, has entered into definitive agreements to acquire TMI Healthcare Private Limited. The agreement was signed on December 19, 2025. This strategic move is designed to enhance Fortis Healthcare’s presence and capabilities within the Bengaluru market.

Deal Terms and Structure

The total consideration for the acquisition is ₹430 Crore. This includes not only TMI Healthcare Private Limited itself, but also the underlying hospital land and building, along with the adjacent land parcel. Completion of the transaction is subject to customary conditions and is expected by the end of January 2026.

Strategic Rationale

This acquisition is in line with Fortis Healthcare’s cluster-focused growth strategy. The integration of TMI Healthcare into the Fortis network is expected to strengthen the company’s position in Bengaluru and improve service delivery capabilities. TMI Healthcare Private Limited comprises the People Tree Hospital, Yeshwanthpur and two identified facilities (People Tree Hospital, Raghavendra and People Tree Hospital, Meenakshi). The acquired business recorded revenue from operations (as on March 31, 2025) of the People Tree Hospital, Yeshwanthpur which is being acquired was approx. INR 73,94,69,943.

TMI Healthcare Overview

TMI Healthcare Private Limited provides multi-specialty inpatient and outpatient healthcare services. In FY23, FY24 and FY25, the company reported revenue from operations of INR 92,16,31,002, INR 102,48,41,343 and INR 102,00,58,900 respectively. As part of the transaction, certain identified facilities would be carved out from TMI Healthcare prior to transaction closure.
