Investment in SOA Fund

Mahadhan AgriTech Limited (MAL), a wholly-owned subsidiary of Deepak Fertilisers, has approved an investment of up to ₹75 crores in one or more tranches in SOA FUND – SERIES I. The announcement was made on November 28, 2025.

Fund Details

SOA FUND – SERIES I is managed by State of Agriculture AIF Trust and is registered with SEBI as a Category II Alternative Investment Fund. This investment will allow MAL to access innovative agri-business models and position itself for future growth opportunities.

Strategic Rationale

This investment is in line with MAL’s endeavor to become a full-stack, farmer-centric agritech player. MAL expects to benefit from both financial returns and strategic value creation through lower capital outlay and risk.

Key Terms of the Agreement

The agreement involves Catalyst Trusteeship Limited as Trustee, SCM Commercial Private Limited as Investment Manager, and Mahadhan AgriTech Limited as Contributor.

Relationship Disclosure

MAL is contributing to SOA FUND–SERIES I in furtherance of its long-term strategic objectives. The SOA FUND SERIES I has been sponsored/ settled by an individual forming part of Promoter Group of the Company and managed by SCM Commercial Private Limited as Investment Manager, which is also part of the Promoter Group.

Transaction Basis

The Transaction is at arm’s length basis.

Share Acquisition

MAL has agreed to acquire units of the Fund at face value of INR 1,000 per unit as specified in Private Placement Memorandum of the Fund.
